WYNDALL PARTNERS LLC ("WYNDALL PARTNERS") provides professional services as described in individually executed Statements of Work ("SOW"). These Terms of Service govern use of the wyndallpartners.com website and form the general framework for client service engagements, supplemented by the specific terms of each executed SOW.
Upon full payment, clients receive a perpetual license to use, reproduce, and distribute research deliverables internally and in client-facing materials. WYNDALL PARTNERS retains ownership of underlying methodologies, survey instruments, panel infrastructure, and analytic frameworks. Neither party may represent deliverables as produced by the other party without written consent.
Both parties agree to maintain the confidentiality of the other party's proprietary information for a period of three years from disclosure. Client research briefs, business questions, and deliverables are treated as client confidential. WYNDALL PARTNERS's panel composition, proprietary scoring methodologies, and client lists are treated as WYNDALL PARTNERS confidential.
Licensed data assets (B2B contact files, intent signal feeds, custom lead lists) are provided for use in the client's own sales and marketing programs. Resale, sublicensing, or redistribution of licensed data to third parties is prohibited without a separately executed data redistribution agreement. Usage must comply with applicable law including CCPA, CAN-SPAM, and TCPA.
WYNDALL PARTNERS's liability for any claim arising under a research engagement is limited to the fees paid for that specific engagement. We are not liable for business decisions made on the basis of research findings, market forecasts, lead data outcomes, or any consequential, incidental, or punitive damages.
These Terms and all service agreements are governed by the laws of the State of Illinois. Disputes arising under these Terms shall be resolved in the state or federal courts of Cook County, Illinois.
